These Terms of Service (“Terms”) are a legal agreement between you and Narya.ai Inc. (“Narya”, “we”, or “us”) governing your use of our Mac applications Mumble AI and Mumble Dictation, together with our related websites and services (collectively, the “Services”).
Some sections apply to a specific product. Where a section is headed with a product name, it applies only to that product. Everything else applies to both.
Our iOS application, Mumble Note, is governed by its own separate terms and is not covered here.
By downloading, installing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 16 years old to use the Services. By using the Services you represent that you meet this requirement and that you have the authority to enter into these Terms.
2. Accounts
You need a Mumble account to start a trial, purchase, subscribe, or restore a purchase. The same account works across both Mumble AI and Mumble Dictation. You sign in with Google, and you are responsible for activity that occurs through your account. Keep your sign-in secure and notify us promptly of any unauthorized use.
You may delete your account by contacting us at feedback@heymumble.com. Deleting your account does not entitle you to a refund except as set out in these Terms or required by law.
3. Acceptable Use
You agree not to:
- use the Services in violation of any law or regulation;
- infringe the intellectual property or privacy rights of others;
- reverse engineer, decompile, or attempt to extract source code, except to the extent this restriction is prohibited by law;
- resell, sublicense, or commercially redistribute the Services without our written permission;
- interfere with or disrupt the integrity or performance of the Services;
- use the Services to record any person without the consent required by applicable law (see Section 6, Mumble AI).
4. Ownership of the Services
The Services, including all software, models, and content we provide, are owned by Narya and our licensors and are protected by intellectual property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights in the Services.
5. Mumble Dictation (one-time purchase)
Trial. Mumble Dictation includes a free trial of up to 60 minutes of use. The trial lets you evaluate the product before purchasing.
License. When you purchase Mumble Dictation, we grant you a perpetual, non-exclusive, non-transferable license to install and use the version you purchased on your Mac for your personal or internal business use. This is a one-time purchase, not a subscription.
What a one-time purchase includes. Your purchase covers the major version you bought, including updates we release for that version. New major versions and separately sold products require a new purchase.
Refunds. Because the free trial lets you evaluate Mumble Dictation before buying, one-time purchases are non-refundable, except where a refund is required by law. Consumers in the EEA and the UK may have a statutory right to cancel within 14 days of purchase; where you begin downloading or using the paid version before that period ends, you agree that we may begin providing it immediately and that this cancellation right ends once you do.
Revocation. We will not revoke a validly purchased perpetual license except where you materially breach these Terms (for example, unlawful use or license abuse).
6. Mumble AI
Recording and consent. Mumble AI records and transcribes meetings, which may capture the voice and other personal data of participants other than you. You are responsible for obtaining any consent required by applicable law before recording, including compliance with all-party consent requirements in certain jurisdictions. You agree to inform participants that the meeting is being recorded where the law requires it.
License. We grant you a limited, non-exclusive, non-transferable license to use Mumble AI for as long as we make it available to you.
Subscription (when introduced). Mumble AI is currently in beta. We plan to offer it on a subscription basis. When paid subscriptions become available, additional terms covering billing, automatic renewal, cancellation, and refunds will apply, and we will make those terms available before you are charged.
7. Your Content
Your content stays yours. You retain all rights to the audio, text, notes, and files you provide to or create with the Services (“Your Content”).
Limited license to us. You grant us a limited, worldwide license to host, process, and transmit Your Content solely to provide, maintain, and secure the features you actually use. This license exists only to operate the Services for you and ends when Your Content is deleted, except for content we must retain by law.
On-device content is excluded. When you use a feature that runs entirely on your Mac (such as Mumble Dictation's on-device mode), we do not receive Your Content, and the license above does not apply to it.
We do not use Your Content to train AI models.
8. Third-Party Services
Sign-in and integrations. The Services use Google for sign-in and may connect to third-party services you choose to enable. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.
Bring your own key (BYOK). If you configure your own third-party AI provider key, the content processed through that feature is sent directly to the provider you selected and is governed by that provider's terms. You are responsible for your use of, and compliance with, that provider's terms, and we are not responsible for that provider's processing.
9. Privacy
Our handling of personal information is described in the privacy policy for each product: the Mumble Dictation Privacy Policy and the Mumble AI Privacy Policy. By using a product, you agree to the applicable privacy policy.
10. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that transcriptions, summaries, or other AI-generated output will be accurate, complete, or error-free. You are responsible for reviewing output before relying on it.
11. Limitation of Liability
To the maximum extent permitted by law, Narya will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising out of or related to your use of the Services.
To the maximum extent permitted by law, our total liability for any claim arising out of or related to the Services will not exceed the amount you paid us for the applicable product in the twelve months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify and hold Narya harmless from any claims, damages, or expenses arising out of your misuse of the Services, your violation of these Terms, or your violation of any law or the rights of any third party, including any failure to obtain consent required to record a meeting.
13. Termination
You may stop using the Services at any time.
We may suspend or terminate your access if you materially breach these Terms, use the Services unlawfully, or create risk or legal exposure for us. For subscriptions, we may also end the Services at the close of a billing period.
Perpetual licenses. Termination for convenience does not apply to a validly purchased Mumble Dictation perpetual license; we may revoke that license only as described in Section 5.
On termination, your right to use the affected Services ends. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the updated version and change the “Last Updated” date above. For material changes, we will provide additional notice. Your continued use of the Services after changes take effect means you accept the updated Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any dispute will be resolved in the state or federal courts located in Santa Clara County, California, and you consent to their jurisdiction, except where applicable consumer law entitles you to bring proceedings in your place of residence.
