1. Introduction

Welcome, and thank you for your interest in Narya.ai Inc. (“we,” “our,” or “us”) and the Mumble AI desktop application that we provide (“Mumble AI,” “Mumble,” the “Platform,” or the “Service”).

Mumble AI allows you to transform audio recordings, meeting content, text notes, files, and other materials you upload into transcriptions, summaries, structured content, tasks, and other AI-generated outputs (“Output”), using speech recognition, OCR, and AI technologies. You may edit or reuse the Output for your own purposes.

These Terms of Service (“Terms”) are a legally binding contract between you and Narya.ai Inc. regarding your use of the Service. By downloading, installing, accessing, or using the Service, you acknowledge that you have read, understand, and agree to be bound by these Terms, including our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2. Accounts

To use certain features of the Service, you must create an account. You agree to provide accurate, complete, and current information; maintain and promptly update such information; keep your login credentials secure and confidential; not share or transfer your account to any other person; and notify us promptly of any unauthorized use or suspected breach of security. You are responsible for all activities conducted under your account.

We may suspend or disable your account at any time if you violate these Terms, your actions may harm the Service or its users, or we determine such action is necessary to comply with applicable law. To delete your account, contact us at the email provided below.

3. General Payment Terms

Some features of the Service require payment of fees. Before paying, you will have the opportunity to review the fees. All fees are stated in U.S. Dollars and are non-refundable unless otherwise required by applicable law or explicitly allowed under separate terms.

4. Licenses

Subject to your ongoing compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to: (a) install and use one copy of the Mumble AI macOS application obtained from a legitimate marketplace on a Mac computer you own or control; and (b) access and use the Service solely for your personal or internal business use.

5. Third-Party Terms and Integrations

The Service may include tools or integrations enabling you to export, sync, or connect your data with third-party services (e.g., Google Calendar, Google Contacts, Apple services). By enabling such integrations, you authorize us to transfer your information to the applicable third-party service. Third-party services are not under our control and we are not responsible for their actions, their handling of your information, or failures of such services.

6. Input

6.1 Your Responsibility for Input

We do not own the information you upload, record, submit, sync, or transmit through the Service (“Input”). You retain ownership or the rights necessary to use such Input. You are solely responsible for the accuracy, legality, reliability, appropriateness, and permissions of all Input.

6.2 Our Right to Remove Content

We may remove, restrict, or disable access to any Input or content if necessary to operate, secure, and improve the Service; to investigate and prevent fraud, abuse, or security issues; to comply with legal obligations; or to enforce these Terms.

7. Ownership and Proprietary Rights

The Service is owned and operated by Narya.ai Inc. All Materials are protected by copyright and other laws. To the fullest extent permitted by law, you own all rights, title, and interest in the Output generated for you based on your Input.

License You Grant to Us: You grant us a fully paid-up, royalty-free, worldwide, nonexclusive license, with the right to sublicense, to use Input and Output as necessary to provide, maintain, and operate the Service; perform diagnostics and troubleshooting; improve Mumble AI and our related products; act on your instructions; and comply with legal obligations.

10. Digital Millennium Copyright Act (DMCA)

We comply with the DMCA. If you believe content in the Service infringes your copyright, you may send a written notice to us including your signature, identification of the copyrighted work, identification of the infringing material and its location, your contact information, a statement of good-faith belief, and a statement under penalty of perjury.

11. U.S. Government Restricted Rights

Mumble AI and its documentation are “Commercial Items” consisting of “Commercial Computer Software” under applicable federal acquisition regulations. They are licensed to U.S. Government end users only with the rights granted to all other users under these Terms.

12. Disclaimer of Warranties

THE SERVICE AND ALL MATERIALS, INPUT, OUTPUT, CONTENT, AND TRANSCRIPTIONS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, RELIABILITY, OR ERROR-FREE OPERATION.

13. Limitation of Liability

13.1 Waiver of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR LOSS OF OPPORTUNITY.

13.2 Liability Cap

OUR TOTAL AGGREGATE LIABILITY IS LIMITED TO: (1) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (2) FIFTY U.S. DOLLARS ($50), WHICHEVER IS GREATER.

13.3 Failure of Essential Purpose

Each limitation of liability in these Terms is fundamental to the allocation of risk and remains enforceable even if any limited remedy fails of its essential purpose.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Before filing a claim, you agree to attempt to resolve the dispute informally. If not resolved within 60 days, either party may bring a claim exclusively in the state or federal courts located in Santa Clara County, California.

15. Indemnification

You agree to defend, indemnify, and hold harmless Narya.ai Inc., its affiliates, and its officers, employees, agents, and advisors from all claims, liabilities, costs, and expenses arising from your breach of these Terms, your Input or Output, your use of the Service, or your violation of any law or third-party rights.

16. App Store Terms

If you downloaded Mumble AI from the Mac App Store, you acknowledge that Apple is not a party to these Terms, your license is limited to use on Apple-branded products you own or control, Apple is not responsible for support, warranty, or legal claims regarding the Service, and Apple and its subsidiaries are third-party beneficiaries of these Terms.
